Terms of Service

1. Introduction

Welcome to PrepIQ. PrepIQ is a kitchen intelligence platform built for restaurants, cafés, catering operations, and other food service businesses. We help you forecast demand, plan production, manage inventory, and run a more predictable kitchen — using your historical sales data, point-of-sale integrations, and artificial intelligence.

PrepIQ is operated by PrepIQ, a company based in Kampala, Uganda ("PrepIQ," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the PrepIQ website, mobile applications, dashboard, APIs, the PIQ Connector software, and all related services (together, the "Service").

The Service is intended for business use by restaurants and other food service operators. It is not intended for personal, household, or consumer use.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old and legally able to enter into a binding contract on behalf of yourself or the business you represent.
  • Be using the Service for a legitimate business — PrepIQ is built for restaurants, cafés, catering companies, and similar food service operations, not personal use.
  • Be responsible for the security of your account credentials and for everything that happens under your account, including actions taken by employees or contractors you invite.

If you are creating an account on behalf of a company or organization, you confirm that you have the authority to bind that organization to these Terms.

3. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Service.

4. The Services We Provide

PrepIQ provides a growing set of tools designed to make running a kitchen more predictable, including:

  • Demand forecasting — predicting how much of each menu item you're likely to sell, based on your sales history, seasonality, weather, local events, and other signals.
  • Production and prep planning — turning forecasts into concrete prep lists and production plans for your kitchen team.
  • Inventory management — tracking stock levels, usage, and waste, and helping you avoid both stockouts and over-ordering.
  • Notifications and alerts — operational alerts such as stockout risk, planning reminders, production alerts, and connector health status, delivered in-app, by push notification, or by email.
  • The PrepIQ Assistant — an AI-powered conversational assistant that can answer operational questions and help you interpret your data.
  • Reporting and analytics — dashboards and reports that summarize your sales, waste, and forecast accuracy over time.
  • The PIQ Connector — software that connects PrepIQ to your point-of-sale (POS) system or other in-kitchen databases so your operational data can flow into the platform automatically.

We are constantly improving PrepIQ. Features may be added, changed, or removed over time, and not every feature is available on every subscription plan.

5. Creating and Registering an Account

To use most of the Service, you need to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information about yourself and your business.
  • Keep that information up to date if it changes.
  • Keep your login credentials confidential and not share them with anyone outside your organization.
  • Notify us promptly if you suspect any unauthorized use of your account.

You are responsible for all activity that takes place under your account, including activity by team members you add.

6. Your Responsibilities as a Customer

When you use PrepIQ, you agree to:

  • Provide data that is accurate to the best of your knowledge — forecasts and recommendations are only as good as the data behind them.
  • Keep your account credentials, API keys, and connector configuration secure.
  • Comply with all laws and regulations that apply to your business, including food safety, labor, and tax regulations.
  • Not misuse the platform — for example, by attempting to access data that doesn't belong to you or interfering with other customers' use of the Service.
  • Maintain appropriate access permissions for any POS system or database that you connect to PrepIQ, and ensure you are authorized to grant PrepIQ (and the PIQ Connector) access to that data.

7. AI-Generated Recommendations Are Not a Substitute for Your Judgment

This is important, so we want to be direct about it:

PrepIQ provides operational recommendations — forecasts, prep quantities, purchasing suggestions, and similar outputs — based on the data available to us at the time. These recommendations are advisory only. Final decisions about production, purchasing, staffing, pricing, and food safety remain entirely your responsibility as the operator of your business.

You should always apply your own professional judgment, and that of your kitchen team, before acting on any recommendation from PrepIQ. We are not liable for business outcomes that result from decisions made using our recommendations.

8. Free Trial

We may offer new customers a free trial period, typically 30 days, so you can evaluate the Service before committing to a paid subscription. During the trial:

  • You will have access to the features included in the trial plan.
  • You will not be charged unless and until you choose to subscribe.
  • You may cancel at any time during the trial without any obligation.

If you do not cancel before the trial ends, your account may convert to a paid subscription in accordance with the plan you selected when you signed up, and billing will begin at that point.

9. Subscription, Billing & Payments

Paid plans are billed in advance on a recurring basis (monthly or annually, depending on the plan you choose). Payments are processed securely through our third-party payment processor, Flutterwave — PrepIQ does not store your full card details.

  • Renewals. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
  • Invoices. You will receive an invoice or receipt for each successful payment.
  • Refunds. Fees are generally non-refundable, except where required by applicable law or explicitly stated otherwise.
  • Failed or late payments. If a payment fails, we will attempt to notify you and may retry the charge. If payment issues are not resolved within a reasonable period, we may suspend or limit your access to the Service until the account is brought current.
  • Cancellation. You can cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period; we do not provide prorated refunds for partial periods unless required by law.
  • Price changes. We may change our pricing from time to time. If a price change affects your existing subscription, we will give you at least 30 days' written notice before it takes effect.

10. Service Availability

We work hard to keep PrepIQ available and reliable, but the Service is provided without a guaranteed uptime commitment unless you have a separate Enterprise agreement that states otherwise. From time to time, we may perform scheduled maintenance that temporarily affects availability; where practical, we will try to schedule this during low-usage periods and give advance notice.

11. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in a way that violates any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Service, other customers' data, or our underlying systems.
  • Reverse-engineer, decompile, or disassemble any part of the Service, including the PIQ Connector.
  • Interfere with, disrupt, or place undue load on the Service or the infrastructure it runs on.
  • Transmit viruses, malware, or other harmful code through the Service.
  • Use the Service to build a competing product or to resell access to the Service without our written permission.

We reserve the right to suspend or terminate accounts that violate this section.

12. Intellectual Property

What PrepIQ owns. The Service — including our software, forecasting models, machine learning systems, visual design, and the PrepIQ name and brand — is owned by PrepIQ and protected by copyright, trademark, trade secret, and other intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service itself. You may not use our trademarks or branding without our prior written permission.

What you own. You retain full ownership of your business data — your sales records, recipes, menus, inventory data, and any documents you upload to PrepIQ. We explain exactly how we use that data in Section 13 and in our Privacy Policy.

13. Data Ownership

We want to be unambiguous about this: your restaurant always owns its operational data. This includes your sales history, inventory records, recipes, menus, forecasts generated for you, and any other business data associated with your account.

PrepIQ processes this data solely to provide, maintain, and improve the Service for you. We do not claim ownership over your business data, and we do not use one customer's confidential business data to train models or generate insights for another customer (see Section 15, AI Transparency & Forecast Learning).

14. The PIQ Connector

Many customers connect their point-of-sale system or in-kitchen database to PrepIQ using the PIQ Connector, a small piece of software that runs alongside your existing systems. When you install and configure the PIQ Connector, you agree that:

  • The Connector accesses only the databases and tables you specifically configure it to access — nothing more.
  • The Connector reads only the operational data required to power forecasting, planning, and reporting (for example, sales transactions, menu items, and inventory levels).
  • The Connector never writes to, modifies, or deletes data in your POS system or database. It is strictly read-only with respect to your source systems.
  • All communication between the Connector and PrepIQ's servers is encrypted.
  • The Connector may check for and install software updates automatically to keep it secure and compatible with your systems; updates are digitally signed to verify their authenticity.

You are responsible for ensuring that you have the necessary rights and permissions to grant the PIQ Connector access to the systems you connect it to.

15. AI Transparency & Forecast Learning

PrepIQ's forecasts and recommendations are generated using artificial intelligence and machine learning models. To help you understand how this works:

  • AI recommendations are generated from your historical operational data, business rules you've configured, and relevant external signals (such as weather and local events). They are advisory, and you remain in control of final decisions (see Section 7).
  • PrepIQ continuously improves forecasting accuracy by learning from outcomes within your environment — your historical sales, approved production plans, any manual overrides your team makes, recorded waste, and stockouts.
  • We do not use your confidential business data to train models for, or generate recommendations for, any other customer. Each organization's data and forecasts are logically isolated from every other organization on the platform.

16. Operational Notifications

To help you run your kitchen in real time, PrepIQ sends operational notifications, including stockout risk warnings, planning reminders, production alerts, connector health/connectivity status, and other system events. You can manage which notifications you receive, and how (in-app, push, or email), in your account settings.

17. Limitation of Liability

To the fullest extent permitted by applicable law, PrepIQ and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the total amount you paid to PrepIQ in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

18. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

As noted in Section 7, forecasts and recommendations produced by the Service are estimates based on available data. They should inform — not replace — your own operational, food safety, and business judgment.

19. Termination

Either you or PrepIQ may terminate these Terms and your access to the Service:

  • You may cancel your account at any time, as described in Section 9.
  • We may suspend or terminate your account if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a risk to PrepIQ, other customers, or the security of the platform. Where practical, we will provide notice before termination.

When your account is terminated, your right to access the Service ends immediately. You may request an export of your business data within 30 days of termination by contacting us at customer@prepiq.net; after that period, your data will be handled in accordance with the data retention practices described in our Privacy Policy.

20. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles, without prejudice to any mandatory consumer- or data-protection rights you may have under the laws of Uganda or your own country of residence. Any dispute arising out of or relating to these Terms will be resolved exclusively in the courts located in San Francisco County, California, unless applicable local law requires otherwise.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. If we make material changes, we will give you at least 30 days' notice before they take effect, either through the Service or by email. Your continued use of the Service after the effective date of updated Terms means you accept the changes.
